Terms of Service

1. Acceptance of Terms

By accessing or using LoomStack's AI-native SDLC orchestration platform, website, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

LoomStack provides an AI-native SDLC orchestration platform that enables engineering organizations to coordinate AI agents, automate workflows, and maintain governance over their software development lifecycle. The Service is provided as a cloud-hosted SaaS platform. Features, functionality, and availability may change as we continue to develop and improve the product.

3. Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials and not share them with unauthorized parties
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account. LoomStack reserves the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Use the Service to develop a competing product or service
• Circumvent any access controls, rate limits, or usage restrictions
• Use the Service to generate, distribute, or facilitate malware, spam, or other malicious content
• Resell, sublicense, or redistribute the Service without our prior written consent

5. Intellectual Property

Our platform: LoomStack and its licensors retain all rights, title, and interest in and to the Service, including all software, algorithms, interfaces, documentation, trademarks, and other intellectual property. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.

Your content: You retain all rights to your source code, data, configurations, and other content that you provide to or create through the Service. We claim no ownership over your intellectual property.

6. Data Ownership

You own your data. All source code, workflow configurations, organizational context, and other data you submit to the Service remains your property. We process your data solely to provide and improve the Service as described in our Privacy Policy. Upon termination of your account, you may request export of your data within 30 days, after which we will delete it from our systems in accordance with our data retention policy.

7. Service Availability

We use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned maintenance. We do not offer a formal service level agreement (SLA) at this time.

8. Limitation of Liability

To the maximum extent permitted by applicable law, LoomStack and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless LoomStack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

10. Termination

Either party may terminate these Terms at any time. You may terminate by closing your account. We may terminate or suspend your access to the Service immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We decide to discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will continue in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

12. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at team@loomstack.co. We will attempt to resolve the dispute through good-faith negotiation within 30 days. If we are unable to resolve the dispute informally, either party may pursue formal legal remedies as described in the Governing Law section above.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. General Provisions

These Terms constitute the entire agreement between you and LoomStack regarding the Service and supersede all prior agreements. Our failure to enforce any right or provision of these Terms shall not be considered a waiver. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. You may not assign your rights or obligations under these Terms without our prior written consent.
